UNTITLED MULTIMEDIA LTD - Audio & Visual Asset License Agreement

This Multimedia Audio & Visual Asset License Agreement ("Agreement") is a legally binding contract between Untitled Multimedia Limited, a multimedia audio and visual asset company ("Licensor," "we," "us," or "our"), and the individual or legal entity purchasing or otherwise accessing the licensed assets ("Licensee," "you," or "your").

By downloading, accessing, or using any audio, visual, or multimedia assets provided by the Licensor (collectively, the "Assets"), you agree to be bound by the terms of this Agreement.

1. Ownership & Copyright

All Assets are owned by the Licensor and are protected by copyright and other intellectual property laws. Licensor retains all right, title, and interest in and to the Assets, including all copyrights and moral rights, unless expressly stated otherwise in writing.

This Agreement grants rights of use only. No ownership or copyright transfer is granted to the Licensee.

2. License Types

Untitled Multimedia provides three different licenses to consumers. Please review the different limitations of each found within our licenses page here.

3. Prohibited Uses

Unless expressly authorized in writing by the Licensor, the Licensee may not:

Redistribute, resell, share, sublicense, rent, lease, lend, or otherwise make the Assets available to any third party as standalone files
Share the Assets outside of the Licensee’s ownership or licensed internal use
Use the Assets in any way that allows extraction or reuse of the Assets by others
Claim ownership or authorship of the Assets
Use the Assets in any unlawful, defamatory, obscene, or misleading manner

4. AI & Machine Learning Restrictions

The Assets may not be used for artificial intelligence, machine learning, or similar technologies, including but not limited to:

Training, fine-tuning, or validating AI models
Generative AI systems or datasets
Automated content generation or synthesis systems

Licensor expressly opts out of and prohibits any use of the Assets for AI training or related purposes, whether commercial or non-commercial.

5. Attribution, Delivery of Assets, Lost and Corrupted Files

Unless otherwise stated in writing, attribution is not required but is appreciated. Attribution does not grant ownership or expanded rights.

Upon successful completion of a purchase, the customer will receive an email containing a downloadable link to the purchased digital assets and a Certificate of Ownership displaying a unique Certificate ID. The downloadable link will remain active for a period of fourteen (14) days from the date of purchase, after which it will expire automatically. Customers are responsible for downloading, storing, and backing up all purchased files within the validity period of the download link.

If purchased files are subsequently lost, deleted, or become corrupted, the customer may request a replacement download link by submitting a support request through the Contact Us page. Any such request must include the original Certificate of Ownership and associated Certificate ID as proof of purchase. Untitled Multimedia reserves the right to verify ownership before issuing a replacement download link.

Untitled Multimedia may refuse replacement requests where sufficient proof of purchase cannot be provided or where there is reasonable suspicion of misuse, unauthorised distribution, or fraudulent activity.

6. API Access & Technical Use Restrictions

Where Assets are accessed, delivered, or managed via an application programming interface ("API"), software development kit ("SDK"), or similar technical means:

API access is provided solely as a method of delivery and management of the Assets and does not transfer ownership or expand the scope of the license granted under this Agreement.
Licensee may create temporary or incidental copies of the Assets solely as necessary for technical processing, caching, backup, or delivery in connection with a permitted use, provided such copies are not made available to third parties.
Licensee must implement reasonable technical and organizational measures to prevent unauthorized access, copying, or distribution of the Assets, including but not limited to securing API keys, credentials, and access tokens.
Licensee may not expose the Assets through publicly accessible APIs, repositories, endpoints, or services in a manner that allows third parties to download, extract, or reuse the Assets.
Licensee remains fully responsible for all use of the Assets accessed via the API, including any use by systems, applications, or users acting under Licensee’s credentials.

7. Term & Termination

This Agreement is effective upon download or use of the Assets and remains in effect until terminated.

Licensor may terminate this Agreement immediately if the Licensee breaches any term. Upon termination, the Licensee must cease all use of the Assets and delete all copies in their possession or control.

8. No Exclusivity

All licenses granted under this Agreement are non-exclusive. Licensor retains the right to license the Assets to other parties.

9. Warranties & Disclaimers

The Assets are provided "as is" and "as available." Licensor makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Licensor does not warrant that the Assets will meet your requirements or that use will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use or inability to use the Assets.

Licensor’s total liability under this Agreement shall not exceed the amount paid by the Licensee for the applicable license.

11. Indemnification

Licensee agrees to indemnify and hold harmless the Licensor from any claims, damages, liabilities, losses, or expenses arising from Licensee’s use of the Assets in violation of this Agreement.

12. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

The parties agree that this governing law shall apply regardless of the Licensee’s country of residence or place of use of the Assets.

13. International Use & Compliance

Whilst this agreement applies predominantly to the governing law of England and Wales it is extended to licensing laws within the jurisdiction of the licensee holder worldwide.

Licensee is solely responsible for ensuring that their use of the Assets complies with all applicable local, national, and international laws, regulations, and industry standards.

14. Dispute Resolution

At the Licensor’s sole discretion, any dispute, claim, or controversy arising out of or relating to this Agreement or the Assets may be resolved by:

Binding arbitration conducted in London, United Kingdom, or
Courts located within England and Wales

This clause is intended to provide a predictable and enforceable framework for resolving cross-border disputes.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Assets and supersedes all prior agreements or understandings.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable under applicable local or international law, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

16. Changes & Termination of Terms

Untitled Multimedia Ltd reserves the right to change these terms and conditions at any point. Customers will be provided with notification of any such changes to these terms and conditions. Continuing to purchase from our platform will constitute an agreement to the changed terms.

Untitled Multimedia Ltd reserves the right to terminate any terms and conditions and your use from our platform at any point, any time, for any reason. Upon termination, you must immediately stop using our platforms and any assets and products you may have purchased from us.
